Pre-Order Terms & Conditions

Lucen Robotics, Inc. — Effective Date: October 1, 2026

These Pre-Order Terms & Conditions ("Terms") govern pre-orders of Lucen Robotics hardware products, including the Lucen Biped and Lucen Arm (the "Products"), placed through lucenrobotics.com (the "Site"). By placing a pre-order, you agree to these Terms. If you do not agree, do not place a pre-order.

1. What a Pre-Order Is

A pre-order reserves your place in the production and delivery queue for a Product by payment of a refundable deposit of US $399 per unit (the "Deposit"). A pre-order is a reservation, not a completed purchase. The Deposit will be applied toward the final purchase price of the Product.

2. Deposit; Balance; Final Sale

The Deposit is fully refundable at any time before your Product ships (see our Refund Policy).
Before shipment, we will send you a balance invoice for the final purchase price of your configured Product, less your Deposit, plus applicable taxes and shipping. Your order ships after the balance is paid.
If you do not pay the balance within thirty (30) days of the balance invoice (or such longer period as we state), we may cancel your pre-order and refund your Deposit in full.
Final sale of the Product is subject to the sales terms provided with your balance invoice, which will include the product warranty. In the event of a conflict, the sales terms govern the shipped Product; these Terms govern the Deposit and reservation.

3. Estimated Shipping Window

Our current estimated shipping window is January 2027. This is a good-faith estimate for products under active development, not a guaranteed delivery date. If we are unable to ship within the estimated window, we will notify you with a revised estimate, and you may either keep your reservation or cancel for a full refund of your Deposit at any time. If a delay becomes material, we will proactively offer you the choice to consent to the new date or receive a prompt full refund.

4. Product Under Development

The Products are in active development. Specifications, features, materials, software, and appearance shown on the Site are subject to change before shipment. If we make a change that materially reduces the core functionality described at the time of your pre-order, we will notify you and you may cancel for a full refund of your Deposit.

5. Intended Use

The Products are research and development hardware intended for use by universities, research labs, companies, and experienced developers. They are not toys and are not intended for use by children or in safety-critical applications. You are responsible for operating the Products safely and in compliance with applicable laws and institutional requirements.

6. Eligibility; Quantity; Transfer

You must be at least 18 years old and capable of forming a binding contract. We may limit pre-order quantities per customer. Pre-orders and Deposits are not transferable without our written consent. Pre-orders do not confer any investment, equity, or interest-bearing right; Deposits do not accrue interest.

7. Pricing and Taxes

Prices displayed on the Site are exclusive of taxes, duties, and shipping unless stated otherwise. Sales tax will be collected where required by law at the time of the balance invoice. For international orders, you are responsible for import duties, taxes, and customs fees of the destination country unless we expressly state otherwise at checkout.

8. International Orders; Export Compliance

We currently accept pre-orders for delivery to the destinations listed at checkout. All sales are subject to applicable export control and sanctions laws. We may decline or cancel (with a full refund of amounts paid) any order that we cannot lawfully or practically fulfill, including orders involving restricted destinations, end-users, or end-uses.

9. Our Right to Cancel

We may cancel any pre-order at any time before shipment for any reason — including production constraints, order errors, pricing errors, suspected fraud, or compliance reasons — in which case we will promptly refund all amounts you have paid, which is your sole and exclusive remedy for such cancellation.

10. Payments

Payments are processed by our third-party payment processor (Stripe). We do not store your full card details. You represent that you are authorized to use the payment method provided.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THE WARRANTY PROVIDED WITH YOUR SHIPPED PRODUCT, THE PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR PRE-ORDER SHALL NOT EXCEED THE AMOUNTS YOU HAVE ACTUALLY PAID US FOR THE PRE-ORDER, AND WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Dispute Resolution; Arbitration; Class Waiver

Any dispute arising out of or relating to these Terms or your pre-order that cannot be resolved informally shall be resolved by binding arbitration on an individual basis administered by JAMS under its Streamlined Arbitration Rules, held in San Francisco, California or conducted remotely. Either party may instead bring an individual claim in small claims court. You and Lucen Robotics each waive the right to a jury trial and to participate in a class action. Nothing in this section limits any non-waivable right you may have under applicable law, including the right to seek public injunctive relief where such right cannot be waived.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 13.

15. Changes to These Terms

We may update these Terms for future pre-orders. The version in effect when you place your pre-order governs that pre-order, except that we may make changes that do not materially reduce your rights (including changes required by law) upon notice.

16. Miscellaneous

These Terms, together with the Refund Policy and any sales terms provided with your balance invoice, are the entire agreement between you and us regarding your pre-order and supersede prior communications on that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign your pre-order without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. We may provide notices to the email address you used at checkout.
